In short – yes. But all depends on what you really need. If you need to have a holding company in Luxembourg, your directors might be non-resident, though a permanent establishment can be an issue. In order to perform commercial acitivity (including issuing invoice) the company need to have a business permit issued in the name of the resident director.
Company formation includes several steps and depends on several factors (nationality and residence country of the shareholders etc) and normally takes from 7 days to 4 weeks.
A sarl (“société à responsabilité limitée”, a limited liability company) could be the most suitable solution. Other most common company types are SA (“société anonyme”, public limited company) and limited partnerships (“société en commandite”) including the société en commandite simple (“SCS”), otherwise known as a common limited partnership; and the société en commandite spéciale (“SCSp”), otherwise known as a special limited partnership. Also there are special types of companies such as Société de gestion de patrimoine familial (“SPF”), it is prohibited from holding real estate assets, either directly, or indirectly through either any tax transparent entity or “Fonds commun de placement”. The SPF must have as its sole activity the acquisition, holding, management and disposal of eligible investments, these being broad in scope. Also SOPARFI (SOciété de PARticipations FInanciéres) is the most common vehicle dedicated to holding and financing activities in Luxembourg.
